Corporate Practice
The Firm’s Corporate practice
focuses on acquisitions, corporate finance (including venture capital
and private equity financings), contractual matters, corporate
governance, and general corporate counseling, including advising
clients with significant international activities.
The Firm also acts as outside general counsel to numerous
companies, including those in the cloud computing, security,
information technology, and entertainment industries.
The Firm also provides leading
counsel in issues relating to benefit corporations, including having
formed the nation’s first benefit corporation.

affect critical business issues, including maintaining corporate
control, ability to obtain financing, and their ability to maintain

Litigation Practice
The Firm’s Litigation practice
includes the defense and prosecution of high-stakes commercial
litigation for domestic and international clients.
The Firm’s attorneys have extensive experience in federal and
state courts around the country, fighting aggressively to protect the
property and rights of the Firm’s clients.
The Firm’s principals have tried numerous jury trials to
conclusion in federal and state courts.
Oil and Gas Practice
The Firm’s Oil and Gas practice
focuses on representing sovereign oil companies or their foreign
investors and partners.
The Firm has significant experience in large infrastructure projects
including pipelines, terminals, and refineries as well as upstream
joint ventures and other M&A in the oil and gas industry.
In the electric power business, the Firm has represented
government-owned electric utility monopolies in connection with the
negotiation and signing of management contracts covering the operation
and major expansion of large power projects.
The Firm also has extensive project experience in major
pipeline consortium, upstream joint ventures between government-owned
oil companies and key international oil refiners, and high-profile
expansion projects.
Foreign Sovereign Practice
The Firm’s Foreign Sovereign practice
focuses on the representation of foreign sovereigns in transactions
and disputes Involving foreign governments, their instrumentalities,
and government-sponsored enterprises.
The Firm also has experience in federal lobbying.
Current Firm Projects:

Foreign Sovereign Representation
– The Firm has been asked to advise the government of a major
oil-producing country on its production, refining, and distribution
projects.

Foreign Investment Project –
Development of vehicle for investment by foreign investors under a
program regulated and approved by the U.S. Government.
Investment should lead to permanent resident status for the
investor and his or her entire immediate family, usually within two to
three years. Customary
investment laws governing transactions in the U.S. apply.

Benefit Corporation Development
– In 2010, Laura E. Jordan, the Firm’s Managing Principal, formed the
nation’s first Benefit Corporation, a for-profit entity that also
pursues specific social benefits.
The Firm acts as a resource center for social entrepreneurs
interested in forming a Benefit Corporation, advising about startup
and operational requirements for this new corporate form.
Ms. Jordan has lectured and presented widely on the topic,
including testifying by invitation before the Maryland Senate and
Maryland House of Delegates.
Redlight Children Civil Litigation Pilot
Project
The Firm is committed to applying its expertise
to help others. A major
pro bono initiative involves
Redlight Children,
a 501(c)(3) organization that seeks to generate conscious
concern and inspire immediate action against child sexploitation and
trafficking worldwide. In
conjunction with Guy Jacobson, Redlight Children founder and
filmmaker, Firm Managing Principal Laura E. Jordan is directing
development of the Civil Litigation Pilot Project, designed to
interrupt demand for child sexual exploitation by suing to recover
civil damages from consumers of those services.
The Civil Litigation Pilot Project, including pleadings
templates, legal research on key issues, litigation resources, and
strategic guidance, will be replicated across the United States to
other law firms helping eradicate child sexual exploitation through an
innovative disruption of the demand-side calculus used in deciding to
buy the sexual services of children.
